Sqoshi Website Usage Terms and Conditions

These terms and conditions are written in UK English. If there is any conflict when translated, this version always supersedes.
In these terms and conditions: We, Us and Our refer to Sqoshi LLP, its officers, employees, agents and assigns; You and Your means you as a potential or registered user of Our website.

By using or accessing Our website, You agree to and will be bound by the following terms and conditions relating to Our website and Your access and use of it.

  1. Your account
    1. You must be aged 13 years or older to register on Our website. By registering, You are confirming that You are
      at least 13 years old and that You have read, understood and agree to comply with the terms and conditions.
    2. You agree to provide true, accurate and complete registration information and to maintain the accuracy of this information.
    3. You will not create an account for anyone other than yourself without their permission.
    4. You are responsible for ensuring your username does not impersonate another person, brand or company, or is copyrighted, trademarked or protected by propriety rights law, vulgar or in any way offensive or inappropriate. We reserve the right to delete user accounts or reclaim usernames if this occurs.
    5. You are not permitted to use our website if You are a convicted sex offender.
    6. Creating a strong password and keeping it safe from others is Your responsibility. You won’t share your password with anyone or let anyone else access Your account.
    7. If We remove or disable Your account, You won’t create another until We have given You permission to do so.
    8. You will not use any portion of Our website for uploading, posting, emailing, transmitting or otherwise making available junk mail, commercial advertisements, or any other form of commercial solicitation.
    9. You will not attempt to gain unauthorised access to Our database. You will not attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by Us in connection with Our website.
    10. You will not engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of Our website.
  2. Privacy
    1. Your privacy is very important to Us. We encourage you to view Our privacy policy which informs you of the different ways to share with others and how We collect and can use your content and information. We encourage you to read the privacy policy, and to use it to help make informed decisions.
  3. Your Content and Information
    1. All information and content (including but limited to your profile information) that You post on Our website is owned by You. We do not claim any ownership rights to anything You post on Our webste. You can control who can view this through changing your privacy settings.
    2. Please Be Aware: When You publish Content and Your privacy settings for Your profile and/or stuff are set to "the internet", it means that You are allowing everyone, including the wider internet (people not on Our website), to access and use that Content, and to associate it with You (i.e. Your name and profile picture). This also means that if You block a registered user of Our website but Your settings are set to "the internet" that user will be able to see Your Content and/or posts when they view Your Content whilst logged out of Our website.
    3. We very much appreciate any feedback or suggestions which You may give to us for Our website. You consent to offering these and having them implemented by Us without any obligation to be compensated.
    4. You allow Us to modify Your Content where needed to fit in with Our website platform, for example, large photos will be compressed upon upload to enhance the service.
    5. You allow Us to publish and display Your Content as defined by You in your privacy settings.
    6. For Content that is covered by intellectual property rights, like photos and videos ("IP content"), you specifically give Us the following permission, subject to your privacy and application settings: You grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP content that You post on or in connection with Our website ("IP License"). This IP License ends when You delete your IP content or your account unless Your Content has been shared with others, and they have not deleted it.
  4. Safety
    1. We want Our website to be as safe as possible for You, however this very much depends on what Content You and Our other users post. Because of this we cannot guarantee that it will always be 100% safe. We will do Our best to keep Our website safe for You to access and use, however We need Your help to do that.
    2. With that objective in mind, You agree as follows:
      3. You will not either yourself (or knowingly permit anyone else to):
      1. post photos or content that include sensitive material, such as credit card numbers, registration plates, nudity, violence, etc. We reserve the right to remove or edit photos that show sensitive, hateful or threatening material.
      2. post details of your address or any other person’s address details.
      3. post any ‘spam’ material on sqoshi or spam other users.
      4. use Our website for any illegal practices or for anything misleading, malicious or discriminatory.
      5. collect users’ content.
      6. modify, adapt, translate, or reverse engineer any part of Our website, or use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of Our website, except as expressly authorized by Us.
      7. upload viruses or other malicious code.
      8. gain or attempt to gain unauthorized access to Our website or any services, other accounts, computer systems or networks connected to Our website or services offered by it, through password mining or any other means.
      9. log in to accounts which do not belong to you. Accessing other users’ accounts is prohibited.
      10. bully, intimidate, threaten or harass any other user.
      11. do anything that could disable, overburden, or impair the proper working of Our website, such as a denial of service attack.
  5. Protecting Other People’s Rights
    1. We expect You when accessing or using Our website to behave in a lawful manner that respects others. In particular, You agree that:
      1. You will not post content or take any action on Our website that infringes or violates someone else's rights or otherwise violates the law.
      2. We reserve the right to remove any content if We believe it violates any applicable laws, including but not limited to copyright, trademark or laws relating to intellectual property rights.
      3. You will not use Our copyrights or trademarks without Our express prior written permission.
      4. You will not post as Content any identification documents or sensitive information whether relating to You or any other person.
      5. We reserve the right to disable or remove Your account if You breach any of these terms and conditions or our Privacy Policy terms and conditions, including by infringing Our or another person’s intellectual property rights, or by continuing despite warning to post sensitive, offensive or unlawful Content of any kind (whether relating to You or another person).
      6. You will not post photos of other people or anything belonging to them without their consent.
  6. Advertisements and Other Commercial Content
    1. We advertise and permit third parties to place advertisements and other commercial content on Our website and link such advertisements and commercial content to and from Our website (‘Website Advertising’).
    2. We take reasonable steps to ensure that all such Website Advertising complies with all applicable laws and, in particular, with The UK Code of Non-broadcast Advertising, Sales Promotion and Direct Marketing (CAP Code).
    3. If you consider that any of Our Website Advertising is unlawful or otherwise non-compliant with the CAP Code, You may notify Us and We will use our reasonable efforts to investigate the situation. We reserve the right in Our absolute discretion to take such action as We consider appropriate in respect of any content which we consider to be either unlawful or otherwise which fails to comply with Our website policies or the CAP Code.
    4. While we take reasonable steps as referred to in clauses 6.2 and 6.3, You acknowledge and agree that:
      1. We are not responsible or liable to You for any third party Website Advertising;
      2. You are solely responsible for making such enquiries and taking such steps as you consider reasonable and appropriate before relying on information contained in Website Advertising, and being satisfied as to the truthfulness, accuracy and legality of such Website Advertising;
      3. Your sole remedy in respect of Website Advertising which breaches applicable laws or codes is to notify Us of the same, so that We may take action in accordance with clause 6.3 above; and
      4. You release and indemnify Us from and against such claims as you or any third party might, but for this clause be entitled to bring against Us or third parties in respect of any loss or damage arising out of the placement or content of Website Advertising in or linked to Our website.
  7. Disputes and related matters
    1. You will resolve any claim, cause of action or dispute (claim) you have with Us arising out of or relating to these terms and conditions of Us, exclusively in the courts of England and Wales.
    2. The laws of England and Wales govern these Terms and Conditions, Your access to and use of Our website, as well as any claim that might arise between You and Us, without regard to conflict of law provisions.
    3. You agree to submit to the exclusive jurisdiction of the courts located in England and Wales for the purpose of litigating all such claims.
    4. If anyone brings a claim against Us related to Your actions or Content on our website, You will release and indemnify and hold Us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim.
    5. We try to keep Our website operating, and in a bug-free and safe manner. Nevertheless You acknowledge and agree that You use it entirely at your own risk.
    6. We provide you with access to and permission to use Our website solely at Your own risk and without any express or implied warranties (including as to implied warranties of merchantability or fitness for purpose.
    7. We provide no guarantee that Our website or Your use of it will be safe or secure, and by using Our website You agree that We are not and will not be liable or responsible in any manner for the actions, content, information or data of third parties. You release and indemnify Us from and against all claims and damages of any kind which may arise out of or in any way (directly or indirectly) connected with any claim which, but for this clause, You or any third party might otherwise have had or be capable of bringing against Us, Our officers, employees and agents in relation to the access and use of Our website and/or any third party Content, information or data.
    8. Under no circumstances will We be liable to You in respect of Your use or misuse of Our website or services offered by it, whether the loss or damages arise from use or misuse of Our website, Your inability to use Our website, any interruption, modification, alteration, or termination of Our website, or any other cause. This limitation of liability also applies with respect to loss and damages incurred by other services or products received through or which may be advertised by or in connection with Our website or any links on the Our website, as well as any information or advice received through or advertised in connection with Our website.
    9. To the maximum extent permitted by law, You agree that neither We will not be liable for any loss of profits or other consequential, pure economic, special, indirect or incidental damages arising out of, or otherwise in connection with:
      1. These terms and conditions or any breach of them by Us or any person.
      2. Our website or its use by You or any third party; and if any such loss and damage may not be excluded or limited, then if, and to the extent permitted by law, the limit of any loss and damage which You may claim against Us is £50.
  8. Amendments
    1. We reserve the right, in our absolute and unfettered discretion, to amend, delete or otherwise change these terms and conditions at any time by posting such amendments, deletions or changes on Our website.
  9. Termination
    1. We further retain the right, in our absolute and unfettered discretion at any time, to stop providing you with a right of access to, or use of all or any part of Our website at any time, and You will have no right to make or seek to make any claim against Us in respect of any such decision or action which We may take. You may delete Your account at any time via Your settings page.
